NomiPad is made and sold by FOP Artem Maliuha, trading as Invis Matters. Orders are processed by Paddle.com, our Merchant of Record.
1. Who you are dealing with
NomiPad (the desktop app, its licenses and the website nomipad.com) is made and sold by FOP Artem Maliuha, a sole proprietor (фізична особа-підприємець) registered in Ukraine, trading as Invis Matters (“we”, “us”):

These terms apply when you download, install or use NomiPad, create a NomiPad account, or buy NomiPad Pro. By doing any of these you accept them. If you do not accept them, do not use NomiPad.
2. Orders and Paddle
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
When you buy NomiPad Pro, you buy it from Paddle (Paddle.com Market Limited), which resells NomiPad licenses on our behalf. Paddle takes the payment, charges and pays any sales tax or VAT, issues your receipt and invoice, and processes refunds. Paddle’s Buyer Terms apply to the purchase in addition to these terms; if the two conflict about the purchase itself (payment, tax, refunds), Paddle’s Buyer Terms prevail. What you get, and how you may use NomiPad, is governed by these terms.

3. What NomiPad is
NomiPad is a desktop text editor (a notepad) for macOS, with Windows and Linux versions planned. It opens very large files, edits plain text, Markdown and source code, and preserves a file’s encoding and line endings. It runs on your computer and works on your local files. There is no cloud storage, sync or collaboration.
4. Plans
- Free: no charge and no time limit. Every feature works, with three differences: a reminder screen is shown for 5 seconds each time NomiPad starts, each window holds at most 3 open tabs, and the status bar shows “Free”.
- NomiPad Pro (“Pro”): a yearly subscription (US$19.99 per year, plus any applicable tax), renewing every year until you cancel. Removes the reminder and the tab limit, and includes every NomiPad update released while the subscription is active, new major versions included.

5. Your license to use NomiPad
NomiPad is licensed to you, not sold: we keep all rights in the software, the name and the logo. Subject to these terms, we grant you a personal, non-exclusive, non-transferable, worldwide license to install and use NomiPad:
- Free: on any number of computers, for personal or commercial work.
- Pro: for one person (the account holder) on the computers that person uses, for personal or commercial work. A Pro license is not to be shared with other people. For several people, buy one license each, or write to us about a team purchase.
You may not:
- sell, rent, lend, sublicense or redistribute NomiPad or a license, or share your account’s password;
- remove, disable or work around the license check, the Free reminder or the tab limit, or create or distribute license keys;
- decompile, disassemble or reverse-engineer NomiPad, except to the extent the law where you live expressly allows it despite this restriction;
- remove copyright or trademark notices, or use NomiPad for anything unlawful.
NomiPad includes open-source components under their own licenses; nothing in these terms limits your rights under those licenses.
6. Your account
You need a NomiPad account (an email address and a password) to buy NomiPad Pro and to sign in to it inside the app. The free version needs no account. You must give a working email address, confirm it, and be old enough to enter into a contract where you live. Keep your password to yourself: what happens through your account is treated as done by you. Tell us straight away at support@nomipad.com if you think someone else has used it. You can ask us to delete your account at any time (see the Privacy Policy).
7. Prices, taxes and payment
Prices are listed in US dollars. VAT, GST or sales tax may be added depending on where you live; Paddle calculates it and shows the final amount at checkout before you pay. Paddle may offer to charge you in your local currency; the amount shown at checkout is the amount you pay. Payment methods are those Paddle offers at checkout. Pro is active as soon as Paddle confirms the payment: sign in inside the app to use it (section 10).
We may change prices in the future. A change never affects a payment you have already made. For Pro, a new price applies only from your next renewal after the change, and we will email you at least 30 days before a renewal at a higher price, so you can cancel first.
8. Pro: renewal and cancellation
- Pro is billed yearly in advance and renews automatically each year at the then-current price until you cancel.
- You can cancel at any time: from the subscription link in your Paddle receipt email, at paddle.net, or by writing to us. Cancelling stops the next renewal; Pro keeps working until the end of the year you have already paid for. After that, NomiPad goes back to the Free plan. It keeps working, and your files are never locked or touched.
- If a renewal payment fails, Paddle retries it for a while. If it still fails, the subscription ends and NomiPad goes back to Free, as above.

9. Refunds
You can get a full refund of any Pro payment, including each yearly renewal, within 14 days of that payment, for any reason. How to ask, and what happens next, is in the Refund Policy, which is part of these terms. Paddle processes refunds as Merchant of Record. Nothing here limits any refund or withdrawal right you have under the law where you live or under Paddle’s Buyer Terms; where those give you more, they apply.
10. Signing in and license refresh
To use Pro, sign in inside NomiPad with your account’s email and password (click “Free” in the status bar, or “I have a license” on the reminder screen). NomiPad receives a signed license and stores it on your computer. The license is checked on your computer, so NomiPad works offline. A Pro license is renewed automatically in the background while your subscription is active; this needs an internet connection from time to time. If a Pro license can’t be renewed because the subscription has ended, NomiPad returns to Free and tells you why.
Signing in records the device’s name, operating system and NomiPad version (see the Privacy Policy), so that we can help you manage your devices and spot a license being shared. We may sign out devices that break section 5.
11. Your files
Your files are yours. NomiPad works on them on your computer, never uploads them, and we get no rights in them. We take great care that NomiPad never loses or corrupts data, but no software is perfect: keep backups of anything important.
12. Warranty and liability
If you are a consumer, you have legal rights when digital content is faulty or not as described; these terms do not take them away. Apart from those rights, NomiPad is provided “as is” and “as available”, without other warranties of any kind to the extent the law allows, including that it will be error-free or uninterrupted, or fit for a particular purpose.
To the extent the law allows, we are not liable for indirect or consequential loss (such as lost profits, lost data or business interruption), and our total liability for all claims relating to NomiPad is limited to the amount you paid for NomiPad in the 12 months before the event giving rise to the claim (or US$50 if you used only the free version). Nothing in these terms limits liability that cannot be limited by law, such as for fraud, or for death or personal injury caused by negligence.
13. Suspension and termination
You can stop using NomiPad at any time. We may suspend or end an account or license that seriously or repeatedly breaks these terms (for example, sharing or reselling a license, or distributing ways around the license check), after telling you what is wrong and, where reasonable, giving you a chance to fix it. If we end a Pro license through no fault of yours, we refund the unused part of what you paid.
14. If we stop selling NomiPad
We may stop selling NomiPad or one of its plans. We will give at least 30 days’ notice by email. If that ends a Pro subscription you have paid for, we refund the unused part of the current year. The free version you have installed keeps working, because it does not depend on our servers.
15. Force majeure
Neither side is responsible for a failure caused by something outside its reasonable control: war and its consequences, air raids, mobilisation, power or internet outages, a failure at a hosting, email or payment provider, an order of a state authority, or a natural disaster. NomiPad is made in Ukraine and that list is meant literally. In such a case we will restore the service as soon as we reasonably can; licenses already on your computer keep working offline in the meantime.
16. Changes, governing law and contact
We may update these terms, for example when we add a plan or the law changes. The version and date at the top of this page show which text applies; we email account holders about material changes before they take effect. A change does not affect a purchase already made, and for Pro it applies from your next renewal.
These terms are governed by the law of Ukraine, without prejudice to the mandatory consumer protections of the country where you live; if you are a consumer, you may also bring a claim in the courts where you live. If any clause turns out to be unenforceable, the rest stays in force.
